1. Acceptance of Terms

By accessing this website or using the Neptune Wealth AI platform (the “Platform”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, do not use the website or Platform. These Terms constitute a legally binding agreement between you (or the entity you represent) and Neptune Wealth AI Corp. (“Neptune,” “we,” “us,” or “our”).

2. Description of Service

Neptune Wealth AI provides an agentic AI platform designed for registered investment advisors (RIAs), wealth advisory firms, and financial professionals. The Platform uses autonomous and semi-autonomous AI agents to assist with portfolio statement extraction, model portfolio management, current-versus-proposed analysis, AI-generated advisor commentary, financial reporting, proposal generation, and trade review workflows.

The Platform may include AI agents that autonomously execute multi-step workflows — including data extraction, analytics computation, document generation, and commentary drafting — with varying levels of human oversight depending on firm configuration and workflow settings.

3. No Financial, Investment, or Legal Advice

Nothing on this website or within the Platform constitutes financial, investment, tax, legal, or compliance advice. All AI-generated outputs — including analytics, commentary, proposals, risk assessments, ESG scoring, stress testing, income projections, and trade recommendations — are tools intended to assist qualified financial professionals, not replace their judgment.

You are solely responsible for reviewing, validating, and approving all AI-generated content before presenting it to clients or using it in any fiduciary capacity. Neptune does not act as an investment advisor, broker-dealer, or fiduciary, and does not make suitability or best-interest determinations.

4. AI-Generated Content and Accuracy

The Platform uses large language models, proprietary algorithms, and third-party data sources to generate analytics, commentary, and reports. AI-generated outputs may contain errors, hallucinations, outdated information, or inaccuracies. Neptune does not warrant the accuracy, completeness, timeliness, or suitability of any AI-generated content.

You acknowledge that AI agents may operate autonomously within configured parameters and that outputs should always be reviewed by a qualified human professional before use in advisory, compliance, or client-facing contexts.

5. Agentic AI and Autonomous Workflows

Certain features of the Platform involve agentic AI systems that can plan, execute, and iterate on multi-step tasks with limited or no human intervention during execution. These include statement parsing, analytics generation, commentary drafting, and proposal assembly.

By using agentic features, you acknowledge that: (a) AI agents may make intermediate decisions during workflow execution; (b) outputs depend on the quality and accuracy of inputs you provide; (c) you retain full responsibility for reviewing and approving all agent outputs; and (d) Neptune is not liable for decisions made based on agent-generated content.

6. Eligibility and Authorized Use

The Platform is intended for use by financial professionals, advisory firms, and their authorized personnel. By using the Platform, you represent that you are a qualified financial professional or are authorized to act on behalf of a registered advisory firm. You may not use the Platform for unlawful purposes or in violation of any applicable securities laws, regulations, or industry standards.

7. Accounts and Security

Access to the Platform requires an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to notify Neptune immediately of any unauthorized use. Neptune may suspend or terminate accounts that violate these Terms or pose a security risk.

8. Client Data and Confidentiality

You may upload portfolio statements, client information, and financial data to the Platform. You represent that you have the legal authority to upload and process such data and that doing so complies with your firm’s policies and applicable laws, including client confidentiality obligations.

Neptune implements commercially reasonable security measures to protect data in transit and at rest. However, no system is completely secure, and Neptune cannot guarantee absolute security of uploaded data. Data handling is further described in our Privacy Policy.

9. Subscription and Payment

Access to the Platform is provided through paid subscriptions governed by a separate written agreement (an “Order Form” or “Service Agreement”). Features, pricing, usage limits, and implementation details are defined in that agreement. In the event of conflict between these Terms and a signed Service Agreement, the Service Agreement controls.

10. Intellectual Property

Neptune Wealth AI Corp. owns or licenses all content, software, models, algorithms, designs, trademarks, and materials on this website and within the Platform. You may not copy, modify, reverse-engineer, decompile, or create derivative works from any Neptune intellectual property without prior written consent.

You retain ownership of data you upload to the Platform. By uploading data, you grant Neptune a limited license to process that data solely to provide the services described in your Service Agreement.

11. Third-Party Data and Services

The Platform may incorporate data from third-party providers, including market data feeds, security reference data, ESG ratings, and financial benchmarks. Third-party data is provided “as is” and subject to the terms of the respective data providers. Neptune is not responsible for the accuracy or availability of third-party data.

12. Limitation of Liability

To the maximum extent permitted by law, Neptune Wealth AI Corp. and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the website or Platform, including but not limited to damages arising from AI-generated content, data inaccuracies, autonomous agent actions, investment decisions, regulatory actions, or lost revenue.

Neptune’s total aggregate liability for any claim arising under these Terms shall not exceed the fees paid by you to Neptune in the twelve months preceding the claim.

13. Disclaimer of Warranties

The website and Platform are provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or reliability of AI-generated outputs.

14. Indemnification

You agree to indemnify and hold harmless Neptune Wealth AI Corp. from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your presentation of AI-generated content to clients without adequate review; or (d) your violation of any applicable law or regulation.

15. Regulatory Compliance

You are responsible for ensuring that your use of the Platform complies with all applicable laws, regulations, and industry standards, including SEC, FINRA, state securities regulations, and any applicable fiduciary duties. Neptune does not provide compliance advice and does not guarantee that use of the Platform will satisfy your regulatory obligations.

16. Modifications to Terms

Neptune may update these Terms at any time. Material changes will be communicated through the website or direct notice. Continued use of the website or Platform after changes constitutes acceptance of the revised Terms.

17. Termination

Neptune may suspend or terminate your access to the website or Platform at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Platform ceases, though provisions regarding liability, indemnification, and intellectual property survive.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Any disputes arising under these Terms shall be resolved through binding arbitration administered by the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

19. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
